Exclusive Jurisdiction; Waiver of Jury Trial. Each of the parties irrevocably submits to the exclusive jurisdiction of the United States District Court for the Southern District of New York, for the purposes of any suit, action or other proceeding arising out of this Agreement, or any transaction contemplated hereby. Each of the parties must commence any action, suit or proceeding relating hereto either in the United States District Court for the Southern District of New York, or, if such suit, action or other proceeding may not be brought in such court for jurisdictional reasons, in the Supreme Court of the City of New York, New York. Service of any process, summons, notice or document by U.S. registered mail to such party's respective address set forth above shall be effective service of process for any action, suit or proceeding in such court with respect to any matters to which it has submitted to jurisdiction in this Section 6.11. Each of the parties irrevocably and unconditionally waives any objection to the laying of venue of any action, suit or proceeding arising out of this Agreement in the United States District Court for the Southern District of New York or the Supreme Court of the City of New York, New York and further irrevocably and unconditionally waives and shall not plead or claim in any such court that any such action, suit or proceeding brought in any such court has been brought in an inconvenient forum.

Each of the parties must hereto agrees to commence any action, suit or proceeding relating hereto either in the United States District Court for the Southern District of New York, York or, if such suit, action or other proceeding may not be brought in such court for jurisdictional reasons, in any state court located in the Supreme Court borough of Manhattan. Each of the City of New York, New York. Service parties hereto further agrees that service of any process, summons, notice or document by U.S. registered mail to such party's ’s respective address set forth above pursuant to Section 7.04 hereof shall be effective service of process for any action, suit or proceeding in such court New York with respect to any matters to which it has submitted to jurisdiction in this Section 6.11clause. Each of the parties hereto irrevocably and unconditionally waives any objection to the laying of venue of any action, suit or proceeding arising out of this Agreement, any agreement entered into in connection with this Agreement or the transactions contemplated hereby or thereby in (i) any state court located in the borough of Manhattan, or (ii) the United States District Court for the Southern District of New York or the Supreme Court of the City of New York, New York and hereby and thereby further irrevocably and unconditionally waives and shall agrees not to plead or claim in any such court that any such action, suit or proceeding brought in any such court has been brought in an inconvenient forum.
