Exclusive Sublicense Sample Clauses

An Exclusive Sublicense clause grants a licensee the sole right to grant sublicenses to third parties under the original license agreement, excluding even the original licensor from granting similar rights. In practice, this means that only the licensee can authorize others to use the licensed intellectual property, and no other party—including the licensor—can issue sublicenses for the same rights during the exclusivity period. This clause is used to give the licensee greater control and commercial advantage over the licensed rights, ensuring they are the only party able to expand the use of the intellectual property through sublicensing, which can be critical for business development or market strategy.
