Common use of Exculpation of Liability Clause in Contracts

Exculpation of Liability. Nothing herein contained shall be construed to constitute Agent or any Lender as any Credit Party's agent for any purpose whatsoever, nor shall Agent or any Lender be responsible or liable for any shortage, discrepancy, damage, loss or destruction of any part of the Collateral wherever the same may be located and regardless of the cause thereof unless caused maliciously or with gross (not mere) negligence, bad faith or willful misconduct (as determined by a court of competent jurisdiction in a final non-appealable judgment). Neither Agent nor any Lender, whether by anything herein or in any assignment or otherwise, assume any of any Credit Party's obligations under any contract or agreement assigned to Agent or such Lender, and neither Agent nor any Lender shall be responsible in any way for the performance by any Credit Party of any of the terms and conditions thereof.

Exculpation of Liability. Nothing herein contained shall be construed to constitute Agent or any Lender Purchaser as any Credit Note Party's ’s agent for any purpose whatsoever, nor shall Agent or any Lender Purchaser be responsible or liable for any shortage, discrepancy, damage, loss or destruction of any part of the Collateral wherever the same may be located and regardless of the cause thereof unless thereof, except to the extent caused maliciously or with by the gross (not mere) negligence, bad faith negligence or willful misconduct (as determined by a court of competent jurisdiction in a final non-appealable judgment)Agent or of such Purchaser. Neither Agent nor any LenderPurchaser, whether by anything herein or in any assignment or otherwise, assume assumes any of any Credit Note Party's ’s obligations under any contract or agreement assigned to Agent or such LenderPurchaser, and neither Agent nor any Lender Purchaser shall be responsible in any way for the performance by any Credit Note Party of any of the terms and conditions thereof.

Nothing herein contained shall be construed to constitute Agent or any Lender as any Credit Loan Party's ’s agent for any purpose whatsoever, nor shall Agent or any Lender be responsible or liable for any shortage, discrepancy, damage, loss or destruction of any part of the Collateral wherever the same may be located and regardless of the cause thereof unless caused maliciously thereof, except with respect to Collateral in its possession or with under its control, in the case of gross (not mere) negligence, bad faith negligence or willful misconduct (as determined by a court of competent jurisdiction in a final non-appealable judgmentjudgment which is no longer appealable). Neither Agent nor any Lender, whether by anything herein or in any assignment or otherwise, assume any of any Credit Loan Party's ’s obligations under any contract or agreement assigned to Agent or such Lender, and neither Agent nor any Lender shall be responsible in any way for the performance by any Credit Loan Party of any of the terms and conditions thereof.

Nothing herein contained shall be construed to constitute Agent or any Lender as any Credit Borrowing Base Party's ’s agent for any purpose whatsoever, nor shall Agent or any Lender be responsible or liable for any shortage, discrepancy, damage, loss or destruction of any part of the Collateral wherever the same may be located and regardless of the cause thereof unless caused maliciously or with by such Person’s gross (not mere) negligence, bad faith negligence or willful misconduct (as determined by a court of competent jurisdiction in a final non-appealable judgment)misconduct. Neither Agent nor any Lender, whether by anything herein or in any assignment or otherwise, assume any of any Credit Borrowing Base Party's ’s obligations under any contract or agreement assigned to Agent or such Lender, and neither Agent nor any Lender shall be responsible in any way for the performance by any Credit Borrowing Base Party of any of the terms and conditions thereof.

Neither Agent nor any Lender, whether by anything herein or in any assignment or otherwise, assume assumes any of any Credit Loan Party's ’s obligations under any contract or agreement assigned to Agent or such Lenderwhich it is a party, and neither Agent nor any Lender shall be responsible in any way for the performance by any Credit Loan Party of any of the terms and conditions thereof.

Nothing herein contained shall be construed to constitute the Agent or any Lender as any Credit Party's agent the Agent for any purpose whatsoever, nor shall the Agent or any Lender be responsible or liable liable, except as a result of the gross negligence or willful misconduct of the Agent or Lender, as applicable, for any shortage, discrepancy, damage, loss or destruction of any part of the Collateral wherever the same may be located and regardless of the cause thereof unless caused maliciously or with gross (not mere) negligence, bad faith or willful misconduct (as determined by a court of competent jurisdiction in a final non-appealable judgment)thereof. Neither the Agent nor any Lender, whether by anything herein or in any assignment or otherwise, assume any of any the Credit Party's Parties' obligations under any contract or agreement assigned to the Agent or such Lender, and neither the Agent nor any Lender shall be responsible in any way for the performance by any such Credit Party of any of the terms and conditions thereof.

Neither Agent nor any Lender, whether by anything herein or in any assignment or otherwise, assume any of any Credit Loan Party's ’s obligations under any contract or agreement assigned to Agent or such Lender, and neither Agent nor any Lender shall be responsible in any way for the performance by any Credit Loan Party of any of the terms and conditions thereof.
