Common use of Exculpation of Liability Clause in Contracts

Exculpation of Liability. (a) The personal liability of each member of its Board of Directors to the Company, its Shareholders or any other Person bound by this Agreement is hereby eliminated for monetary damages for breach of fiduciary duty as a Director; provided, however, that, the foregoing shall not eliminate the liability of a director (i) for any breach of such director’s duty of loyalty to the Company or the Shareholders as modified by this Agreement, (ii) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law, or (iii) for any transaction from which such director derived an improper personal benefit. (b) Notwithstanding anything to the contrary set forth in this Agreement, no Indemnitee shall be liable for monetary damages to the Company, the Shareholders or any other Person bound by this Agreement for losses sustained or liabilities incurred as a result of any act or omission of an Indemnitee unless there has been a final, non-appealable judgment entered by a court of competent jurisdiction determining that, in respect of the matter in question, the Indemnitee acted in bad faith or engaged in fraud, willful misconduct or, in the case of a criminal matter, acted with knowledge that the Indemnitee’s conduct was unlawful. (c) The Board of Directors may exercise any of the powers granted to it by this Agreement and perform any of the duties imposed upon it hereunder either directly or by or through its agents, and the Board of Directors shall not be responsible for any misconduct or negligence on the part of any such agent appointed by the Board of Directors in good faith. (d) The provisions of this Agreement, to the extent that they restrict or eliminate or otherwise modify the duties (including fiduciary duties) and liabilities of an Indemnitee otherwise existing at law or in equity, are agreed by the Shareholders to replace such other duties and liabilities of such Indemnitee. (e) Any amendment, modification or repeal of this Section 10.2 or any provision hereof shall be prospective only and shall not in any way affect the limitations on the liability of any Indemnitee and other protective provisions under this Section 10.2 as in effect immediately prior to such amendment, modification or repeal with respect to claims arising from or relating to matters occurring, in whole or in part, prior to such amendment, modification or repeal, regardless of when such claims may arise or be asserted and provided such Person became an Indemnitee hereunder prior to such amendment, modification or repeal.

Exculpation of Liability. To the fullest extent permitted by law, no Partner, including the General Partner, or any of their Affiliates, or any officer, director, shareholder, partner, member, principal, employee or agent of the foregoing (a) The personal liability of each member of its Board of Directors each, an “Exculpated Party”), will be liable, in damages or otherwise, to the CompanyPartnership or to any of the Partners for any act or omission by any such Exculpated Party pursuant to the authority granted by this Agreement, its Shareholders unless such act or omission results from fraud, gross negligence, or willful misconduct. To the fullest extent permitted by law, the Partnership will indemnify, defend and hold harmless each Exculpated Party from and against any other Person bound and all claims or liabilities of any nature whatsoever, including reasonable attorneys’ fees, arising out of or in connection with any action taken or omitted by an Exculpated Party pursuant to the authority granted by this Agreement is hereby eliminated for monetary damages for breach or otherwise, except where attributable to the fraud, gross negligence, or willful misconduct of fiduciary duty as a Directorsuch Exculpated Party; provided, however, that, that the foregoing indemnification shall be fully subordinated to the Loan and any other obligations respecting the Property, and shall not eliminate constitute a claim against the liability of a director (i) for any breach of Partnership in the event that cash flow is insufficient to pay such director’s duty of loyalty to obligations. To the Company or the Shareholders as modified fullest extent permitted by this Agreement, (ii) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law, each Exculpated Party will be entitled to rely on the advice of counsel, public accountants or (iii) for any transaction from which such director derived an improper personal benefit. (b) Notwithstanding anything to other independent experts experienced in the contrary set forth in this Agreementmanner at issue, no Indemnitee shall be liable for monetary damages to the Company, the Shareholders or any other Person bound by this Agreement for losses sustained or liabilities incurred as a result of and any act or omission of an Indemnitee unless there has been a final, non-appealable judgment entered by a court of competent jurisdiction determining that, such Exculpated Party pursuant to such advice will in respect of the matter in question, the Indemnitee acted in bad faith or engaged in fraud, willful misconduct or, in the case of a criminal matter, acted with knowledge that the Indemnitee’s conduct was unlawful. (c) The Board of Directors may exercise any of the powers granted no event subject such Exculpated Party to it by this Agreement and perform any of the duties imposed upon it hereunder either directly or by or through its agents, and the Board of Directors shall not be responsible for any misconduct or negligence on the part of any such agent appointed by the Board of Directors in good faith.
