This Agreement is duly and validly executed and delivered by the Seller and constitutes, or, when executed and delivered, will constitute, a valid and binding obligation of the Seller, enforceable against the Seller in accordance with its terms, except as may be limited by the effect of bankruptcy, insolvency, reorganization, moratorium, fraudulent conveyance, or similar laws affecting the enforcement of creditors’ rights generally, and subject to general principles of equity.

This Agreement is duly and validly executed and delivered by the Seller Purchaser and constitutes, or, when executed and delivered, will constitute, a valid and binding obligation of the SellerPurchaser, enforceable against the Seller Purchaser in accordance with its terms, except as may be limited by the effect of bankruptcy, insolvency, reorganization, moratorium, fraudulent conveyance, or similar laws affecting the enforcement of creditors’ rights generally, and subject to general principles of equity.
