Common use of Execution and Delivery of Notation of Guarantee Clause in Contracts

Execution and Delivery of Notation of Guarantee. To evidence the Guarantee of a Guarantor of a Series of Securities, a Notation of Guarantee, executed by either manual or facsimile signature of an Officer of such Guarantor, shall be affixed on each Security entitled to the benefits of the Guarantee of such Guarantor. If any Officer of any Guarantor whose signature is on a Notation of Guarantee no longer holds that office at the time the Trustee authenticates a Security to which such Notation of Guarantee is affixed or at any time thereafter, the Guarantee of such Security shall be valid nevertheless. The delivery of any Security by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of any Guarantee relating to such Security set forth in the Indenture on behalf of the Guarantor. Notwithstanding the foregoing, each Guarantor hereby agrees that its Guarantee shall remain in full force and effect notwithstanding the absence of a Notation of Guarantee being affixed to such Security.

Execution and Delivery of Notation of Guarantee. To further evidence the Guarantee set forth in Section 10.1, each Guarantor hereby agrees that a notation of a Guarantor of a Series of Securities, a Notation of such Guarantee, substantially in the form included in Exhibit G hereto, may be endorsed on each Note authenticated and delivered by the Trustee and such notation of Guarantee may be executed by either manual or facsimile signature of an Officer officer or an officer of a general partner, as the case may be, of each Guarantor. Each of the Guarantors hereby agrees that its Guarantee set forth in Section 10.1 shall remain in full force and effect notwithstanding any failure to endorse on each Note a notation of such Guarantor, shall be affixed on each Security entitled to the benefits of the Guarantee of such GuarantorGuarantee. If any Officer an officer of any a Guarantor whose signature is on a Notation of Guarantee this Indenture no longer holds that office at the time the Trustee authenticates a Security to which such Notation of Guarantee is affixed Notes or at any time thereafter, the such Guarantor's Guarantee of such Security Notes shall be valid nevertheless. The delivery of any Security Note by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of any Guarantee relating to such Security set forth in the this Indenture on behalf of the Guarantor. Notwithstanding the foregoing, each Guarantor hereby agrees that its Guarantee shall remain in full force and effect notwithstanding the absence of a Notation of Guarantee being affixed to such Security.
