Common use of Execution and Delivery of the Guarantee Clause in Contracts

Execution and Delivery of the Guarantee. (1) To further evidence the Guarantee set forth in this Article Thirteen, each Guarantor hereby agrees that a notation of such Guarantee in the form set forth in Annex A hereto shall be endorsed on each Security authenticated and delivered by the Trustee and executed by either manual or facsimile signature of an officer, manager or member, as applicable, of each Guarantor. The failure of any Guarantor to execute and deliver a Guarantee shall not affect its Guarantee under Section 1602 hereof.

The failure its Vice Presidents and attested by its Secretary or one of any Guarantor to execute and deliver a Guarantee shall not affect its Guarantee under Section 1602 hereofAssistant Secretaries.
