Execution and Performance of Agreement. Each of Seller and Purchaser represents and warrants to the other that it has full right, power and authority to enter into and perform its obligations under this Agreement. Each of Seller and Purchaser further represents and warrants to the other that the performance of its obligations under this Agreement will not result in a violation or breach of, and will not conflict with or constitute a default under any agreement, contract, commitment or obligation to which such party or any of its Affiliates is a party or by which it is otherwise bound or any Applicable Law.
