Common use of Execution and Validity of Agreements Clause in Contracts

Execution and Validity of Agreements. This Agreement has been duly executed and delivered by GCI and constitutes, and each of the other Transaction Agreements to which GCI is a party will be duly executed and delivered at Closing and will constitute, the legal, valid and binding obligation of GCI, enforceable in accordance with its terms, subject to bankruptcy, insolvency, moratorium, reorganization and similar laws of general applicability affecting the rights and remedies of creditors and to general principles of equity, regardless of whether enforcement is sought in proceedings in equity or at law.

Execution and Validity of Agreements. This Agreement and each of the Transaction Agreements to which GCI is a party has been duly executed and delivered by GCI BUS_RE\1394606.17 and constitutesassuming the due authorization, execution and each of delivery by the other Transaction Agreements to which GCI is a party will be duly executed parties hereto and delivered at Closing and will constitutethereto, constitute the legal, valid and binding obligation obligations of GCI, GCI enforceable against GCI in accordance with its their respective terms, subject to applicable bankruptcy, insolvency, moratorium, reorganization and moratorium or other similar laws of general applicability affecting the relating to creditors’ rights and remedies of creditors and to general principles of equity, regardless of whether enforcement is sought in proceedings in equity or at law.
