Common use of Execution, Authentication and Delivery of the Certificates Clause in Contracts

Execution, Authentication and Delivery of the Certificates. Concurrently with the sale of the HELOCs to the Trust pursuant to the Sale and Servicing Agreement, the Owner Trustee shall cause the Certificates issued hereunder to be executed on behalf of the Trust and the Securities Administrator shall cause the Certificates to be authenticated and delivered, as set forth in Exhibits A-1 through A-3, to or upon the written order of the Depositor, signed by its chairman of the board, its president or any vice president, without further corporate action by the Depositor, in the authorized denomination. The Certificates shall not entitle its Holder to any benefits under this Agreement or be valid for any purpose unless there shall appear on such Certificate a certificate of authentication substantially in the form set forth in Exhibits A-1 through A-3 hereto, respectively, executed by the Securities Administrator or by an authenticating agent of the Issuing Entity, by manual signature; such authentication shall constitute conclusive evidence that such Certificate shall have been duly authenticated and delivered hereunder. A Certificate shall be dated the date of its authentication.
