Common use of Execution, Authentication and Delivery of the Ownership Certificates Clause in Contracts

Execution, Authentication and Delivery of the Ownership Certificates. Concurrently with the sale of the Collateral to the Trust pursuant to the Sale and Servicing Agreement, the Owner Trustee shall cause the Ownership Certificates issued hereunder to be executed and authenticated on behalf of the Trust and delivered to the Initial Holder or upon the written order of the Depositor, signed by its chairman of the board, its president or any vice president, without further corporate action by the Depositor. The Ownership Certificates shall not entitle the Holders to any benefits under this Agreement or be valid for any purpose unless there shall appear on such Ownership Certificates a certificate of authentication substantially in the form set forth in Exhibit A hereto, executed by the Certificate Registrar, as the Owner Trustee’s authenticating agent, by manual signature; such authentication shall constitute conclusive evidence that such Ownership Certificates shall have been duly authenticated and delivered hereunder. An Ownership Certificate shall be dated the date of its authentication.

Concurrently with the sale of the Collateral Mortgage Loans and related Assets to the Trust pursuant to the Sale Transfer and Servicing Agreement, the Owner Trustee shall cause the Ownership Certificates issued hereunder to be executed and authenticated on behalf of the Trust and authenticated and delivered to the Initial Holder or upon the written order of the Depositor, signed by its chairman of the board, its president or any vice president, without further corporate action by the Depositor. The No Ownership Certificates Certificate shall not entitle the Holders its Holder to any benefits benefit under this Agreement or be valid for any purpose unless there shall appear on such Ownership Certificates Certificate a certificate of authentication substantially in the form set forth in as part of Exhibit A hereto, executed by the Owner Trustee or the Certificate Registrar, as the Owner Trustee’s authenticating agent, by manual signature; such authentication shall constitute conclusive evidence that such Ownership Certificates Certificate shall have been duly authenticated and delivered hereunder. An All Ownership Certificate Certificates shall be dated the date of its their authentication.
