Common use of Execution, Delivery and Performance of Agreement Clause in Contracts

The execution, delivery, and performance of this Agreement by Purchaser will not (with or without the giving of notice or the passage of time) conflict with, result in a default under, or result in the creation of any Encumbrance pursuant to: (a) Purchaser's certificate of incorporation or bylaws; or (b) any material Contract or Law to which Purchaser is a party or by which it may be bound;
