Execution of Acquisition Agreement. Premier concurrently ---------------------------------- herewith, shall execute and deliver the Acquisition Agreement and the Other Agreements, and shall use its best efforts to satisfy the terms and conditions of, to perform the obligations to be performed by it under, and the consummation of the transactions contemplated by, the Acquisition Agreement.
