Execution of Agreement; Notes. On or prior to the Effective Date (i) this Agreement shall have been executed and delivered as provided in Section 11.10 and (ii) if requested by any Lender in writing, there shall have been delivered to Administrative Agent for the account of such Lender the appropriate Note executed by Borrower, in each case in the amount, maturity and as otherwise provided herein, which Note shall be held in escrow by counsel to Administrative Agent and dated and delivered to such Lender on the Funding Date.
