Common use of Execution of Amendments Clause in Contracts

Execution of Amendments. In executing any amendment permitted by this Article, the Collateral Agent, the Custodial Agent, the Securities Intermediary and the Purchase Contract Agent shall be entitled to receive and (subject to Section 7.01 of the Purchase Contract Agreement with respect to the Purchase Contract Agent) shall be fully authorized and protected in relying upon, an Opinion of Counsel stating that the execution of such amendment is authorized or permitted by this Agreement and that all conditions precedent, if any, to the execution and delivery of such amendment have been satisfied. The Collateral Agent, Custodial Agent, Securities Intermediary and Purchase Contract Agent may, but shall not be obligated to, enter into any such amendment which affects their own respective rights, duties or immunities under this Agreement or otherwise.

In executing any amendment permitted by this ArticleArticle XI, the Collateral Agent, the Securities Intermediary, the Custodial Agent, the Securities Intermediary Registrar and the Purchase Contract Agent Property Trustee shall be entitled to receive and (subject to Section 7.01 8.3 of the Purchase Contract Trust Agreement with respect to the Purchase Contract AgentProperty Trustee) shall be fully authorized and protected in relying upon, an Opinion of Counsel stating that and an Officers’ Certificate of the execution of such amendment is authorized or permitted by this Agreement and Company to the effect that all conditions precedent, if any, to of the execution and delivery requirements of Section 6.1(c) of the Trust Agreement in respect of such amendment have been met and/or satisfied. The Collateral Agent, the Securities Intermediary, the Custodial Agent, the Securities Intermediary Registrar and Purchase Contract Agent the Property Trustee may, but shall not be obligated to, enter into any such amendment which affects their own respective rights, duties or immunities under this Agreement or otherwise.

The Collateral Agent, the Securities Intermediary, the Custodial Agent, the Securities Intermediary Registrar and Purchase Contract Agent the Property Trustee may, but shall not be obligated to, enter into any such amendment which affects their own respective rights, duties or immunities under this Agreement or otherwise.
