Execution of Assignment Documents Clause Samples

The 'Execution of Assignment Documents' clause defines the requirement and process for formally signing and delivering documents that transfer rights or obligations from one party to another. Execution of Assignment Documents. Employee agrees to execute and deliver to Employer such assignments, certificates of authorship, or other instruments in accordance with standard industry practice as Employer may require from time to time to evidence ownership of the results and proceeds of Employee's services. Employee's agreement to assign to Employer any of Employee's rights as set forth in this Section does not apply to any invention which qualifies fully as Employee's invention under the provisions of Section 2870 of the California Labor Code, where no equipment, supplies, facility, or trade secret information of Employer was used and which was developed entirely upon Employee's own time, and which (i) does not relate to the business of Employer or to its actual or demonstrably anticipated research or development, or (ii) which does not result from any work performed by Employee for Employer.
Execution of Assignment Documents. At the Effective Date XYNOMIC shall provide to BII the partially executed (by XYNOMIC) assignment document (including the Assignment Form set forth in Exhibit 2.1 hereof) for transfer of the Assigned Patents (the “Assignment”), and BII shall fully execute and deliver the Assignment as soon as reasonably possible following receipt of the Upfront Payment.
Execution of Assignment Documents. XYNOMIC shall provide to BII the partially executed (by XYNOMIC) assignment document for transfer of the Licensed Patents (the “Assignment”), and BII shall fully execute and deliver the Assignment as soon as reasonably possible following receipt of the Milestone Payment according to Section 2.3 (the “Assignment Date”). For Licensed Patents following the Assignment Date, XYNOMIC at the written request and expense of BII shall promptly register or record the licenses of Licensed Patents granted to BII under this Agreement with the appropriate patent offices in all applicable countries of the Territory.
