Common use of Execution of Counterparts Clause in Contracts

Execution of Counterparts. The Administrative Agent shall have received counterparts of this Amendment, duly executed and delivered on behalf of each of (a) the Borrowers, (b) the Administrative Agent and (c) the Required Lenders, or as to any of the foregoing parties, advice reasonably satisfactory to the Administrative Agent that each of the foregoing parties has executed a counterpart of this Amendment.

Execution of Counterparts. The Administrative Agent shall have received counterparts of this Amendment, duly executed and delivered on behalf of each of (a) the Borrowers, (b) the Administrative Agent Borrower and (c) the Required Lenders, or as to any of the foregoing parties, advice reasonably satisfactory to the Administrative Agent that each of the foregoing parties has executed a counterpart of this Amendmentrequisite Lenders.

Execution of Counterparts. The Administrative Agent and the Arranger shall have received counterparts of this Amendment, duly executed and delivered on behalf of each of (a) the BorrowersBorrower, (b) the Administrative Agent and (c) the Required Lenders, or as to any of the foregoing parties, advice reasonably satisfactory to the Administrative Agent that each of the foregoing parties has executed a counterpart of this Amendment.

The Administrative Agent shall have received counterparts of this Amendment, duly executed and delivered on behalf of each of the (a) the Borrowers, (b) the Administrative Agent and Agent, (c) the Required LendersLenders (after giving effect to the prepayment of Tranche B Term Advances contemplated hereby) and (d) each Tranche C Term Lender, or as to any of the foregoing parties, advice reasonably satisfactory to the Administrative Agent that each of the foregoing parties has executed a counterpart of this Amendment.

The Administrative Agent Agents shall have received counterparts a counterpart of this Amendment, Amendment Agreement duly executed and delivered on behalf of each of (a) the Borrowers, (b) the Administrative Agent Borrowers and (c) the Required Lenders, or as to any of the foregoing parties, advice reasonably satisfactory to the Administrative Agent that each of the foregoing parties has executed other Obligors, and the Borrowers shall have received a counterpart of this AmendmentAmendment Agreement duly executed and delivered on behalf of the Administrative Agents.

The Administrative Agent shall have received (1) counterparts of this Amendment, Eighth Amendment duly executed and delivered on behalf of each of (a) by the BorrowersBorrower and the Guarantor, (b2) the Administrative Agent and (c) the Required Lenders, written agreement or as to any of the foregoing parties, advice reasonably satisfactory consent to the Administrative Agent that amendment contained herein from each of the foregoing parties has Lenders, (3) the Disclosure Letter duly executed a counterpart and delivered by the Borrower and the Guarantor, and (4) such other documents and agreements as may be necessary or appropriate, in the reasonable opinion of the Administrative Agent, to fully effect the purposes of this AmendmentAgreement.
