Execution of Escrow Agreement. (a) The Facility Manager shall have executed and delivered to Authority copy of the Escrow Agreement.
Execution of Escrow Agreement. The Purchaser shall have each executed the Escrow Agreement with respect to the portions of the Purchase Price placed in the Escrow Account in the form of Exhibit A hereto.

Simultaneously with the execution and delivery of this Agreement, (i) the Purchaser, the Seller and SunTrust Bank, Atlanta, as Escrow Agent, are executing and delivering the Escrow Agreement, dated as of the date hereof, in the form attached to this Amendment as Exhibit "A" and (ii) the Purchaser is depositing into the escrow fund created by such Escrow Agreement the sum of $1,200,000 in cash in immediately available funds, such funds to be held and disbursed pursuant to the terms of such Escrow Agreement.
Execution of Escrow Agreement. The Escrow Agreement shall have been executed by the parties thereto. 5.3
Execution of Escrow Agreement. A condition of any Unvested Share ----------------------------- exercise of the Option as defined in paragraph 8 below is that the Optionee, and the spouse of the Optionee, if any, contemporaneously with the exercise of the Option and prior to any issuance of any stock certificate representing the shares purchased on exercise of the Option, execute the form of escrow agreement required by paragraph 8(b) below.
Execution of Escrow Agreement. Buyer, Merger Sub, Papyrus, Escrow Agent and the Stockholders' Agent shall have entered into an Escrow Agreement substantially in the form attached hereto as Exhibit D.
Execution of Escrow Agreement. Simultaneously with the execution and ----------------------------- delivery of this Agreement, (i) the Buyer, the Seller and NationsBank, N.A., as Escrow Agent, are executing and delivering an Escrow Agreement, dated as of the date hereof, in the form attached to this Amendment as Exhibit "A" and (ii) the Buyer is depositing into the escrow fund created by such Escrow Agreement the sum of $2,000,000 in cash in immediately available funds, such funds to be held and disbursed pursuant to the terms of such Escrow Agreement. Seller shall be responsible for all fees and expenses of the Escrow Agent in accordance with Section 5.5 of the Escrow Agreement.
