Common use of Execution of Indenture Supplement, Amendments, Etc Clause in Contracts

Execution of Indenture Supplement, Amendments, Etc. In -------------------------------------------------- executing or accepting the additional trusts created by any amendment or supplement to this Indenture, or any amendment, consent, waiver or other modification permitted by this Article IX or the modifications thereby of the trusts created by this Indenture, each of the Indenture Trustee and the Owner Trust shall be entitled to receive, and (subject to Section 7.01 and Section 7.02) shall be fully protected in relying upon, an opinion of independent counsel stating that the execution of such amendment or supplement to this Indenture, or of such amendment, consent, waiver or modification, is authorized or permitted by this Indenture. Either of the Indenture Trustee or the Managing Trustee may, but shall not be obligated to, enter into any such amendment or supplement to this Indenture which affects its own rights, duties or immunities under this Indenture or otherwise. It shall not be necessary for Holders to approve the particular form of any proposed amendment or supplement to this Indenture, or any amendment, consent, waiver or other modification of any other Operative Document or U.K. Document, but it shall be sufficient if such action shall approve the substance thereof.
