Common use of Execution of Purchase Agreement Clause in Contracts

Execution of Purchase Agreement. FURTHER RESOLVED, that the Corporation be and it hereby is authorized to execute the Purchase Agreement providing for the purchase by Lincoln Park of up to Twelve Million Dollars ($12,000,000) of the Corporation’s Common Stock, from time to time at the direction of the Corporation; and

Execution of Purchase Agreement. FURTHER RESOLVED, that the Corporation be and it hereby is authorized to execute the Purchase Agreement providing for the purchase by Lincoln Park of up to Twelve Ten Million Two Hundred Fifty Thousand Dollars ($12,000,00010,250,000) of the Corporation’s Common Stockcommon stock; and FURTHER RESOLVED, from time that the Corporation is hereby authorized to time at the direction of the Corporationpay to Lincoln Park Capital Fund, LLC, One Hundred Fifty Five Thousand Dollars ($155,000) as a Commitment Payment; and
