Common use of Execution of Securities Clause in Contracts

Execution of Securities. The Securities shall be executed on behalf of the Company by its President or one of its Vice Presidents, under its corporate seal affixed thereto or reproduced thereon and attested by its Secretary or one of its Assistant Secretaries. The signature of any or all such officers on the Securities may be manual or facsimile. Securities bearing the manual or facsimile signatures of individuals who were at any time relevant to the authorization thereof the proper officers of the Company shall bind the Company, notwithstanding that such individuals or any of them have ceased to hold such offices prior to the authentication and delivery of such Securities or did not hold such offices at the date of such Securities.

The Securities shall be executed on behalf of the Company IDB by its President president or one any of its Vice Presidents, vice presidents and its secretary or assistant secretary under its corporate seal affixed thereto or reproduced thereon and attested by its Secretary or one of its Assistant Secretariesthereon. The signature of any or all such officers on the Securities may be manual or facsimile, provided that any such signature shall be manually subscribed if so required by applicable Law. Securities bearing the manual or facsimile signatures of individuals who were at any the time relevant to the authorization thereof such signatures were affixed the proper officers of the Company IDB shall bind the Company, IDB notwithstanding that such individuals or any of them have ceased to hold such offices prior to the authentication and delivery of such Securities or did not hold such offices at the date of such Securities.
