Common use of Execution of Supplemental Indenture for Future Guarantors Clause in Contracts

Execution of Supplemental Indenture for Future Guarantors. Each Subsidiary and other Person which is required or elects to become a Guarantor pursuant to Section 4.10, shall promptly execute and deliver to the Trustee a supplemental indenture in the form of Exhibit C hereto pursuant to which such Subsidiary or other Person shall become a Guarantor under this Article 11 and shall guarantee the Guaranteed Obligations. Concurrently with the execution and delivery of such supplemental indenture, the Issuer shall deliver to the Trustee an Officer’s Certificate stating that such supplemental indenture is authorized or permitted by this Indenture.

Execution of Supplemental Indenture for Future Guarantors. Each Subsidiary and other Person of Parent which is required or elects to become a Subsidiary Guarantor of the Notes pursuant to Section 4.10, 4.11 shall promptly execute and deliver to the Trustee a supplemental indenture in the form of Exhibit C hereto pursuant to which such Subsidiary or other Person shall become a Subsidiary Guarantor under this Article 11 X and shall guarantee Guarantee the Guaranteed ObligationsNotes. Concurrently with the execution and delivery of such supplemental indenture, the Issuer shall deliver to the Trustee an Officer’s Opinion of Counsel and an Officers’ Certificate stating that such supplemental indenture is authorized or permitted by this Indenture.

Concurrently with the execution and delivery of such supplemental indenture, the Issuer Company shall deliver to the Trustee an Opinion of Counsel and an Officer’s Certificate stating that such supplemental indenture is authorized or permitted by this Indenture.

Each Subsidiary and other Person which is required or elects to become a Guarantor after the Issue Date pursuant to Section 4.10, 4.11 shall promptly execute and deliver to the Trustee a supplemental indenture in the form of Exhibit C D hereto pursuant to which such Subsidiary or other Person shall become a Guarantor under this Article 11 10 and shall guarantee the Guaranteed Obligations. Concurrently with the execution and delivery of such supplemental indenture, the Issuer Company shall deliver to the Trustee an Opinion of Counsel and an Officer’s Certificate stating to the effect that such supplemental indenture is authorized or permitted by and complies with this Indenture.

Each Subsidiary and other Person which is required or elects to become a Note Guarantor pursuant to Section 4.10, shall promptly execute and deliver to the Trustee a supplemental indenture in the form of Exhibit C D hereto pursuant to which such Subsidiary or other Person shall become a Note Guarantor under this Article 11 10 and shall guarantee the Guaranteed Obligations. Concurrently with the execution and delivery of such supplemental indenture, the Issuer shall deliver to the Trustee an Officer’s Certificate stating that such supplemental indenture is authorized or permitted by this Indenture.

Each Subsidiary and other Person which is required or elects to become a Guarantor after the Issue Date pursuant to Section 4.10, 4.11 shall promptly execute and deliver to the Trustee a supplemental indenture in the form of Exhibit C D hereto pursuant to which such Subsidiary or other Person shall become a Guarantor under this Article 11 10 and shall guarantee the Guaranteed Obligations. Concurrently with the execution and delivery of such supplemental indenture, the Issuer shall deliver to the Trustee an Opinion of Counsel and an Officer’s Certificate stating to the effect that such supplemental indenture is authorized or permitted by and complies with this Indenture.

Each Restricted Subsidiary and other Person which is required or elects to become a Guarantor pursuant to Section 4.10, 4.12 hereof shall promptly execute and deliver to the Trustee a supplemental indenture in the form of Exhibit C hereto pursuant to which such Subsidiary or other Person shall become a Guarantor under this Article 11 10 and shall guarantee the Guaranteed Obligations. Concurrently with In the execution and delivery case where a supplemental indenture is entered into under this Section 10.07 solely for purposes of such supplemental indentureadding a Guarantor, the Issuer shall deliver to the Trustee an no Opinion of Counsel or Officer’s Certificate stating that such supplemental indenture is authorized or permitted by this Indentureshall be required.
