Execution of Warrant Certificates. Warrant Certificates shall be signed on behalf of the Company by its Chairman of the Board or its President or Chief Executive Officer or a Vice President and by its Secretary or an Assistant Secretary. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such office. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such officer. (a) Warrant Certificates shall be signed on behalf of the Company by its Chairman of the Board or its President or Chief Executive Officer or a Vice its President or its Chief Financial Officer and by its Secretary or an Assistant SecretarySecretary under its corporate seal. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Chief Executive Officer, Vice President, Chief Financial Officer, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Vice President, Chief Financial Officer, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she such person shall have ceased to hold such office. The seal of the Company may be in the form of a facsimile thereof and may be impressed, affixed, imprinted or otherwise reproduced on the Warrant Certificates. (b) In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such an officer. Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Execution of Warrant Certificates. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, be transferred or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered transferred or disposed of as though such person had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agent Agreement any such person was not such officer. Each Warrant Certificates Certificate shall be dated the date of countersignature such Warrant Certificate was authorized to be transferred by the Warrant AgentCompany.

Execution of Warrant Certificates. Each Warrant Certificates Certificate, whenever issued, shall be dated as of the date of countersignature thereof by the Warrant Agent pursuant to Section 5 either upon initial issuance or upon exchange, substitution or transfer, shall be signed on behalf of manually by, or bear the Company by its facsimile signature of, the Chairman of the Board or its President or the Chief Executive Officer or a the President or Executive or Senior Vice President or any Vice President (whether or not designated by a number or number of words added before or after the title "Vice President") of the Company, and shall be attested by its Secretary the manual or an Assistant Secretary. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present Chief Financial Officer or Treasurer or Assistant Treasurer or Secretary or any future Chairman Assistant Secretary of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such officeCompany. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she such person shall have ceased to hold such office. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, Chief Executive Officer, President, Chief Executive Operating Officer, Chief Financial Officer, Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company Parent may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, Chief Executive Officer, President, Chief Executive Operating Officer, Chief Financial Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she such person shall have ceased to hold such office. In case any officer of the Company Parent who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the CompanyParent, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the CompanyParent; and any Warrant Certificate may be signed on behalf of the Company Parent by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company Parent to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such an officer. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such officer. Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Execution of Warrant Certificates. Warrant Certificates (the "WARRANT CERTIFICATES") evidencing Global Warrants or Definitive Warrants to be delivered pursuant hereto shall be signed on behalf of the Company by its Chairman of the Board or its President or Board, President, Chief Executive Officer or Officer, Chief Financial Officer, a Vice President and by its Secretary President, Secretary, an Assistant Secretary, Treasurer or an Assistant SecretaryTreasurer. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Chief Executive Officer, Chief Financial Officer, a Vice President, Secretary Secretary, an Assistant Secretary, Treasurer or an Assistant Secretary Treasurer and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Chief Financial Officer, a Vice President, Secretary or Secretary, an Assistant Secretary, Treasurer or an Assistant Treasurer, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she such person shall have ceased to hold such office. (b) In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such officer. . Execution of Warrant Certificates. The seal of the Warrant Certificates Company may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary thereof and may be impressed, affixed, imprinted or otherwise reproduced on the Warrant Certificates Certificates. Typographical and for that purpose the Company may adopt and use the facsimile signature other minor errors or defects in any such reproduction of any person who such signature shall have not affect the validity or enforceability of any Warrant Certificate that has been Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be duly countersigned and delivered or disposed of he or she shall have ceased to hold such officeby the Warrant Agent. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates Certificate so signed shall have been countersigned be authenticated and delivered by the Warrant Agent, Agent or disposed of by the Company, such Warrant Certificates Certificate nevertheless may be countersigned and delivered or disposed of as though the person who signed such person Warrant Certificate had not ceased to be such officer of the Company; and any . Each Warrant Certificates Certificate, whenever issued, shall be dated as of the date of countersignature thereof by the Warrant Agent either upon initial issuance or upon exchange, substitution or transfer, shall be signed on behalf of manually by, or bear the Company by its Chairman of the Board or its President or Chief Executive Officer or a Vice President and by its Secretary or an Assistant Secretary. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of of, the present or any future Chairman of the Board, the President, the Chief Executive Financial Officer, the Treasurer or any Vice President (whether or not designated by a number or numbers of words added before or after the title “Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman ”) of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such officeCompany. Global Warrant Certificates shall be signed on behalf of the Company by its Chairman of the Board or Board, its President or Chief Executive Officer or a Officer, any Vice President and by President, its Secretary or any Assistant Secretary (each, an Assistant Secretary“Appropriate Officer”). Each such signature upon the Global Warrant Certificates may be in the form of a facsimile or other electronically transmitted signature (including, without limitation, electronic transmission in portable document format (.pdf)) of the present or any future Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary such Appropriate Officer and may be imprinted or otherwise reproduced on the Global Warrant Certificates and for that purpose the Company may adopt and use the facsimile or other electronically transmitted signature of any person Appropriate Officer who shall have been Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that an Appropriate Officer at the time the of entering into this Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such officeAgreement. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such office. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present current or any future Chairman of the Board, President, Chief Executive Officer, President, Vice President, Treasurer, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, President, Vice President, Treasurer, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she such person shall have ceased to hold such office. Each Warrant Certificates shall be dated the date of countersignature such Warrant Certificate was authorized to be transferred by the Warrant AgentCompany.

Execution of Warrant Certificates. Each Warrant Certificates Certificate, whenever issued, shall be dated as of the date of countersignature thereof by the Warrant Agent either upon initial issuance or upon exchange, substitution or transfer, shall be signed on behalf of manually by, or bear the Company by its facsimile signature of, the Chairman of the Board or its the President or Chief a Treasurer or Executive Officer or a Senior Vice President or any Vice President (whether or not designated by a number or numbers of words added before or after the title "Vice President") of the Company, and shall be attested by its the manual or facsimile signature of the Treasurer or Assistant Treasurer or Secretary or an Assistant Secretary. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature Secretary of the present or any future Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such officeCompany. In case any officer of the Company who whose manual or facsimile signature has been placed upon any Warrant Certificate shall have signed any of the Warrant Certificates shall cease ceased to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless Certificate is issued, it may be countersigned and delivered or disposed of issued with the same effect as though if such person officer had not ceased to be such officer at the date of issuance. Warrant Certificates shall, upon the Warrant Agent's (or successor warrant agent's) receipt of written delivery instructions related to such Warrant Certificates from the Company, be countersigned manually by the Warrant Agent (or successor warrant agent) and shall not be valid for any purpose unless so countersigned. Warrant Certificates may be countersigned by the Warrant Agent (or successor warrant agent), however, notwithstanding that the persons whose manual or facsimile signatures appear thereon as proper officers of the Company; and any Company shall have ceased to be such officers at the time of such countersignature, issuance or delivery. Any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such an officer. Warrant Certificates evidencing Warrants to purchase initially an aggregate of up to shares of Common Stock shall be executed on or prior to the date hereof by the Company and delivered to the Warrant Agent for countersignature, and the Warrant Agent shall thereupon countersign and deliver such Warrant Certificates upon the order and at the direction of the Company to the purchasers thereof on the date of issuance. The Warrant Agent hereby is authorized to countersign and deliver Warrant Certificates as required hereby in accordance with the provisions of this Agreement. Execution of Warrant Certificates. Warrant Certificates shall be dated the date of countersignature by the Warrant Agent (the "Grant Date") and shall represent one or more whole Warrants. (b) Warrant Certificates shall be manually or by facsimile signature countersigned by the Warrant Agent and delivered or disposed shall not be valid for any purpose unless so countersigned. The Warrant Agent shall, upon a written order of he or she any Appropriate Officer, and upon receipt of Warrant Certificates duly executed on behalf of the Company, countersign and deliver Warrants as directed in writing by the Company. Each holder of Warrants shall be bound by all of the terms and provisions of this Warrant Agreement (a copy of which is available on request to the Secretary of the Company) and any amendments thereto as fully and effectively as if such holder had signed the same. A Warrant Certificate shall be, and shall remain, subject to the provisions of this Warrant Agreement until such time as all of the Warrants evidenced thereby shall have ceased to hold such office. Appropriate Officer. (d) No Warrant Certificates Certificate shall be dated the date of countersignature valid for any purpose, and no Warrant evidenced thereby shall be exercisable, until such Warrant Certificate has been either manually or by facsimile signature countersigned by the Warrant Agent. Such signature by the Warrant Agent upon any Warrant Certificate executed by the Company shall be conclusive evidence that such Warrant Certificate so countersigned has been duly issued hereunder.

Execution of Warrant Certificates. Warrant Certificates shall be signed on behalf of the Company by any two of the following officers: its Chairman of the Board or its President or Board, Chief Executive Officer or a Officer, Chief Financial Officer, President, any Vice President and by its President, Secretary or an Assistant Secretary, under its corporate seal. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Chief Executive Officer, Chief Financial Officer, President or any Vice President, President and Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Chief Financial Officer, President, any Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such office. The seal of the Company may be in the form of a facsimile thereof and may be impressed, affixed, imprinted or otherwise reproduced on the Warrant Certificates. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such officer. Warrant Certificates shall be dated the date of countersignature by the Warrant Agent. In the event that there is a reset of the Exercise Price of the Series A Warrants or the Series B Warrants or the Additional Warrants pursuant to Section 2A hereof, the Company may instruct the Warrant Agent to issue new Series A Warrant Certificates or Series B Warrant Certificates or Additional Warrant Certificates, as the case may be, with the new Exercise Price in replacement of the applicable Warrant Certificates issued prior to the date of any such resetting.

Execution of Warrant Certificates. Warrant Certificates shall be signed on behalf of the Company by its Chairman of the Board or its President or Chief Executive Officer or a Vice President and by its Secretary or an Assistant SecretarySecretary under its corporate seal. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such an officer. Each Warrant Certificates Certificate shall be dated as of the date of countersignature Closing Date or Option Closing Date (as defined in the Securities Purchase Agreement), as the case may be, at which the related Warrant is purchased by a Buyer under the Warrant AgentSecurities Purchase Agreement.

Each such signature upon the Warrant Certificates may be in the form of a facsimile signature Secretary of the present or any future Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such officeCompany. In case any officer of the Company who whose manual or facsimile signature has been placed upon any Warrant Certificate shall have signed any of the Warrant Certificates shall cease ceased to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless Certificate is issued, it may be countersigned and delivered or disposed of issued with the same effect as though if such person officer had not ceased to be such officer at the date of issuance. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company Partnership may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant SecretarySecretary of its general partner, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such office. . (b) In case any officer of the Company general partner of the Partnership who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the CompanyPartnership, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Companygeneral partner of the Partnership; and any Warrant Certificate may be signed on behalf of the Company general partner of the Partnership by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company general partner of the Partnership to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such officer. . (c) Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Typographical and other minor errors or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature defects in any such reproduction of any person who such signature shall have not affect the validity or enforceability of any Warrant Certificate that has been Chairman of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be duly countersigned and delivered or disposed of he or she shall have ceased to hold such officeby the Warrant Agent. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates Certificate so signed shall have been be countersigned and delivered by the Warrant Agent, Agent or disposed of by the Company, such Warrant Certificates Certificate nevertheless may be countersigned and delivered or disposed of as though the person who signed such person Warrant Certificate had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person whosuch persons as, at the actual date of the execution of such Warrant Certificate, shall be a the proper officer officers of the Company to sign such Warrant CertificateCompany, although at the date of the execution and delivery of this Warrant Agreement any such person was not such an officer. The Warrant Certificates Agent may assume any person who shall have signed any Warrant Certificate to be dated the date of countersignature countersigned and delivered by the Warrant AgentAgent is authorized to do so unless the Company shall have notified the Warrant Agent that such person is no longer an officer of the Company or otherwise unauthorized to execute any Warrant Certificate.

Execution of Warrant Certificates. Warrant Certificates shall be signed on behalf of the Company by its Chairman of the Board or its President or Chief Executive Officer or a Vice President and by its Secretary or an Assistant SecretarySecretary under its corporate seal. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Chief Executive Officer, Vice President, Treasurer, Chief Financial Officer, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Vice President, Treasurer, Chief Financial Officer, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such office. The seal of the Company may be in the form of a facsimile thereof and may be impressed, affixed, imprinted or otherwise reproduced on the Warrant Certificates. 4 In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such officer. Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Execution of Warrant Certificates. Each Warrant Certificates Certificate, whenever issued, shall be dated as of the date of countersignature thereof by the Warrant Agent (either upon initial issuance or upon exchange, substitution or transfer), shall be signed on behalf of manually by, or bear the Company by its Chairman of the Board or its President or Chief Executive Officer or a Vice President and by its Secretary or an Assistant Secretary. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of of, the present or any future Chairman of the Board, President, the Chief Executive Officer, the President or a Vice PresidentPresident of the Company, Secretary shall have the Company’s seal or Assistant Secretary a facsimile thereof affixed or imprinted thereon and may shall be imprinted attested by the manual or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman the Secretary or an Assistant Secretary of the Board, President, Chief Executive Officer, Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such officeCompany. In case any officer of the Company who whose manual or facsimile signature has been placed upon any Warrant Certificate shall have signed any ceased to be such before such Warrant Certificate is issued, it may be issued with the same effect as if such officer had not ceased to be such at the date of the issuance. Warrant Certificates shall cease to be such officer before countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. Warrant Certificates so signed shall have been may be countersigned by the Warrant Agent, with the same effect, notwithstanding that any Persons whose manual or disposed facsimile signatures appear thereon as proper officers of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not Company shall have ceased to be such officer officers at the time of the Company; and any such countersignature. Any Warrant Certificate may be signed on behalf of the Company by any person Person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person Person was not such an officer. Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Warrant Certificates shall be dated the date of countersignature by the Warrant Agentcountersignature.

Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, President Chief Executive Officer, Chief Operating Officer, Chief Financial Officer, or Vice President, Secretary or Assistant Secretary President and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, Chief Operating Officer, Chief Financial Officer, or Vice President, Secretary or Assistant Secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such office. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such officer. Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Each such signature upon the Warrant Certificates Certificate may be in the form of a facsimile signature of the present or any future Chairman chairman of the Boardboard, Presidentpresident, Chief Executive Officerexecutive vice president, Vice Presidentsenior vice president, Secretary vice president, corporate secretary, or Assistant Secretary assistant secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman chairman of the Boardboard, Presidentpresident, Chief Executive Officerexecutive vice president, Vice Presidentsenior vice president, Secretary vice president, corporate secretary, or Assistant Secretaryassistant secretary, notwithstanding the fact that at the time the Warrant Certificates shall be countersigned and delivered or disposed of he or she shall have ceased to hold such office. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, Agent or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such officer. Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Each such signature upon the any Warrant Certificates Certificate may be in the form of a facsimile signature of the present or any future Chairman of the Board, President, Chief Executive Officer, President, Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any person who shall have been Chairman of the Board, President, Chief Executive Officer, President, Vice President, Secretary or Assistant SecretarySecretary at the time of entering into this Warrant Agreement, notwithstanding the fact that at the time the any Warrant Certificates Certificate shall be countersigned by the Warrant Agent and delivered or disposed of by the Company he or she shall have ceased to hold such office. In case , so long as, and the Company hereby represents that, under the Company's charter and by-laws, any officer Warrants or shares of the Company who shall have signed any of the Warrant Certificates shall cease to Common Stock so issued would be such officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent, or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such person had not ceased to be such officer of the Company; and any validly issued. Any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such officer, so long as, and the Company hereby represents that, under the Company's charter and by-laws, any Warrants or shares of the Common Stock so issued would be validly issued. For purposes hereof, "person" shall be interpreted broadly to include an individual, corporation, partnership, joint venture, association, joint stock company, limited liability company, limited liability partnership, national banking association, trust, trustee, estate, unincorporated organization, government, governmental unit, agency, or political subdivision thereof, or other entity. Warrant Certificates shall be dated the date of countersignature by the Warrant AgentAgent and shall represent one or more whole Warrants.
