Common use of Execution of Warrant Certificates Clause in Contracts

Execution of Warrant Certificates. (a) The Warrant Certificates shall be signed on behalf of the Company by its Chief Executive Officer, its President or any Executive Vice President (each, an “Appropriate Officer”). Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of any such Appropriate Officer and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any Appropriate Officer. (b) If any Appropriate Officer who shall have signed any of the Warrant Certificates shall cease to be such Appropriate Officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such Appropriate Officer had not ceased to be such Appropriate Officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper Appropriate Officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Agreement any such person was not such Appropriate Officer.

Execution of Warrant Certificates. Typographical and for other minor errors or defects in any such reproduction of the seal or any such signature shall not affect the validity or enforceability of any Warrant Certificate that purpose has been duly countersigned and delivered by the Warrant Agent. In case any officer of the Company may adopt and use the facsimile signature of any Appropriate Officer. (b) If any Appropriate Officer who shall have signed any of the Warrant Certificates shall cease to be such Appropriate Officer officer before the Warrant Certificates Certificate so signed shall have been be countersigned and delivered by the Warrant Agent or disposed of by the Company, such Warrant Certificates Certificate nevertheless may be countersigned and delivered or disposed of as though the person who signed such Appropriate Officer Warrant Certificate had not ceased to be such Appropriate Officer officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person whosuch persons as, at the actual date of the execution of such Warrant Certificate, shall be a the proper Appropriate Officer officers of the Company to sign such Warrant CertificateCompany, although at the date of the execution and delivery of this Agreement any such person was not such Appropriate Officeran officer.

Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Any Warrant Certificate may be signed on behalf of the Company by any person whosuch persons as, at the actual date of the execution of such Warrant Certificate, shall be a the proper Appropriate Officer officers of the Company to sign such Warrant CertificateCompany, although at the date of the execution and delivery of this Agreement any such person was not such Appropriate Officeran officer.

Execution of Warrant Certificates. Each such signature upon the Warrant Certificates may be in the form of a facsimile or other electronically transmitted signature (including, without limitation, electronic transmission in portable document format (.pdf)) of any such Appropriate Officer and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile or other electronically transmitted signature of any Appropriate Officer. (b) Officer who shall have been an Appropriate Officer at the time of entering into this Warrant Agreement. If any Appropriate Officer who shall have signed any of the Warrant Certificates shall cease to be such Appropriate Officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent or disposed of delivered by the Company, such Warrant Certificates nevertheless Certificates, nevertheless, may be countersigned and delivered or disposed of with the same force and effect as though such Appropriate Officer had not ceased to be such Appropriate Officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper Appropriate Officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such Appropriate Officer.

Execution of Warrant Certificates. (a) The Warrant Certificates shall be signed on behalf of the Company Borrower by its Chairman of the Board, Chief Executive Officer, Officer or its President or any Executive a Vice President (each, and by its Secretary or an “Appropriate Officer”)Assistant Secretary. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of the present or any such Appropriate future Chairman of the Board, Chief Executive Officer President, Vice President, Secretary or Assistant Secretary and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any Appropriate OfficerCertificates. (b) If In case any Appropriate Officer officer of the Borrower who shall have signed any of the Warrant Certificates shall cease to be such Appropriate Officer officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent or disposed of by the CompanyBorrower, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such Appropriate Officer person had not ceased to be such Appropriate Officer officer of the CompanyBorrower; and any Warrant Certificate may be signed on behalf of the Company Borrower by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper Appropriate Officer officer of the Company Borrower to sign such Warrant Certificate, although at the date of the execution of this Agreement any such person was not such Appropriate Officerofficer.

Execution of Warrant Certificates. (a) The Warrant Certificates certificates evidencing Warrants to purchase initially an aggregate of up to 307,298 shares of Common Stock shall be duly executed, on the date of this Agreement, by the Company and delivered to the registered holder of the Warrants in accordance with the provisions of Section 3 hereof. Warrant certificates shall be signed on behalf of the Company by its Chief Executive Officer, its President or any Executive Vice President (each, an “Appropriate Officer”)two authorized officers. Each such signature upon the Warrant Certificates certificates may be in the form of a facsimile signature of any such Appropriate Officer and may be imprinted or otherwise reproduced on the Warrant Certificates and certificates and, for that purpose purpose, the Company may adopt and use the facsimile signature of any Appropriate Officer. (b) If person who shall have been an authorized officer, notwithstanding the fact that at the time the Warrant certificates shall be delivered or disposed of such person shall have ceased to hold such office. In case any Appropriate Officer officer of the Company who shall have signed any of the Warrant Certificates certificates shall cease to be hold such Appropriate Officer office before the such Warrant Certificates so signed certificates shall have been countersigned by the Warrant Agent an authorized officer delivered or disposed of by the Company, such Warrant Certificates certificates nevertheless may be countersigned and delivered or disposed of as though such Appropriate Officer person had not ceased to be hold such Appropriate Officer of the Company; and any office. Any Warrant Certificate certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificatecertificate, shall be a proper Appropriate Officer officer of the Company to sign such Warrant Certificatecertificate, although at the date of the execution of this Agreement any such person was did not hold such Appropriate Officeroffice.

If any Appropriate Officer or Attesting Officer who shall have signed any of the Warrant Certificates shall cease to be such Appropriate an Officer or Attesting Officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent or disposed of delivered by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such Appropriate Officer or Attesting Officer had not ceased to be such Appropriate an Officer of the Company; or Attesting Officer, and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper Appropriate Officer of the Company or Attesting Officer to sign such Warrant Certificate, although at the date of the execution of this Agreement any such person was not such Appropriate Officeran officer.

(a) The Warrant Certificates shall be signed on --------------------------------- behalf of the Company by its Chairman of the Board, President, Chief Executive Officer, its President or any Executive a Vice President (eachPresident, Treasurer, an “Appropriate Officer”)Assistant Treasurer or Chief Financial Officer and by its Secretary or an Assistant Secretary. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of any such Appropriate Officer present or future officer and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose Certificates. In case any officer of the Company may adopt and use the facsimile signature of any Appropriate Officer. (b) If any Appropriate Officer who shall have signed any of the Warrant Certificates shall cease to be such Appropriate Officer officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent Agent, or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such Appropriate Officer person had not ceased to be such Appropriate Officer officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper Appropriate Officer officer of the Company as aforesaid to sign such Warrant Certificate, although at the date of the execution of this Agreement any such person was not such Appropriate Officerofficer. Warrant Certificates shall be dated the date of countersignature by the Warrant Agent.

Execution of Warrant Certificates. (a) The Warrant Certificates shall be signed on behalf of the Company by its Chairman of the Board of Directors, its Chief Executive Officer, its President, a Vice President or any Executive Vice President its Treasurer (eacheach an "Officer") and attested by its Secretary or an Assistant Secretary, an “Appropriate Officer”)under its corporate seal. Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of any such Appropriate Officer and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose Certificates. The corporate seal of the Company may adopt be in the form of a facsimile thereof and use may be impressed, affixed, imprinted or otherwise reproduced on the facsimile signature of any Appropriate Officer. (b) Warrant Certificates. If any Appropriate Officer who shall have signed any of the Warrant Certificates shall cease to be such Appropriate Officer officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such Appropriate Officer had not ceased to be such Appropriate Officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper Appropriate Officer officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Agreement any such person was not such Appropriate Officerofficer.

Execution of Warrant Certificates. (a) The Warrant Certificates --------------------------------- shall be signed executed on behalf of the Company by its Chief Executive Officer, its President two Officers of the Company. Such signatures may be the manual or facsimile signatures of the present or any Executive Vice President (each, an “Appropriate Officer”)future such officers. Each Typographical and other minor errors or defects in any such signature upon the Warrant Certificates may be in the form of a facsimile signature reproduction of any such Appropriate Officer signature shall not affect the validity or enforceability of any Warrant Certificate that has been duly countersigned and may be imprinted or otherwise reproduced on delivered by the Warrant Certificates and for that purpose Agent. In case any officer of the Company may adopt and use the facsimile signature of any Appropriate Officer. (b) If any Appropriate Officer who shall have signed any of the Warrant Certificates shall cease to be such Appropriate Officer officer before the Warrant Certificates Certificate so signed shall have been be countersigned and delivered by the Warrant Agent or disposed of by the Company, such Warrant Certificates Certificate nevertheless may be countersigned and delivered or disposed of as though the Person who signed such Appropriate Officer Warrant Certificate had not ceased to be such Appropriate Officer officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person whosuch Persons as, at the actual date of the execution of such Warrant Certificate, shall be a the proper Appropriate Officer officers of the Company to sign such Warrant CertificateCompany, although at the date of the execution and delivery of this Agreement any such person Person was not such Appropriate Officeran officer.

Execution of Warrant Certificates. (a) The Warrant Certificates shall be signed executed for and on behalf of the Company by any one of the following: its Chief Executive Officer, Chief Financial Officer, Chief Operating Officer, any Vice President, its President Corporate Secretary or any Executive Vice President other officer of the Company whose position is authorized by the Bylaws (each, an “Appropriate Officer”). Each such signature upon the Warrant Certificates may be in the form of a facsimile signature of any such Appropriate Officer and may be imprinted or otherwise reproduced on the Warrant Certificates and for that purpose the Company may adopt and use the facsimile signature of any Appropriate Officer. (b) If any Appropriate Officer who shall have signed any of the Warrant Certificates shall cease to be such an Appropriate Officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent or disposed of delivered by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such Appropriate Officer had not ceased to be such an Appropriate Officer of the Company; Officer, and any Warrant Certificate may be signed on behalf of the Company by any person individual who, at the actual date of the execution of such Warrant Certificate, shall be a proper Appropriate Officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Agreement any such person individual was not such an Appropriate Officer.

Execution of Warrant Certificates. (b) If any Appropriate Officer Company who shall have signed any of the Warrant Certificates shall cease to be such Appropriate Officer officer before the Warrant Certificates so signed shall have been countersigned by the Warrant Agent or disposed of by the Company, such Warrant Certificates nevertheless may be countersigned and delivered or disposed of as though such Appropriate Officer person had not ceased to be such Appropriate Officer officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper Appropriate Officer officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Warrant Agreement any such person was not such Appropriate Officerofficer.

In case any officer of the Company may adopt and use the facsimile signature of any Appropriate Officer. (b) If any Appropriate Officer who shall have signed any of the Warrant Certificates shall cease to be such Appropriate Officer officer before the Warrant Certificates Certificate so signed shall have been be countersigned and delivered by the Warrant Agent or disposed of by the Company, such Warrant Certificates Certificate nevertheless may be countersigned and delivered or disposed of as though the person who signed such Appropriate Officer Warrant Certificate had not ceased to be such Appropriate Officer officer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any a person whoas, at the actual date of the execution of such Warrant Certificate, shall be a proper Appropriate Officer officer of the Company to sign such Warrant CertificateCompany, although at the date of the execution and delivery of this Agreement any such person was not such Appropriate Officeran officer.
