Common use of Execution of Warrant Certificates Clause in Contracts

Execution of Warrant Certificates. Warrant Certificates shall be executed on behalf of the Company by the president, any vice president or the treasurer of the Company and signed by the secretary or any assistant secretary of the Company and have affixed thereon the seal of the Company. Each such signature and seal may be manual or facsimile. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before countersignature and delivery by the Company, such Warrant Certificates, nevertheless, may be countersigned, issued and delivered with the same force and effect as though such person had not ceased to be such officer; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Agreement such person was not such an officer of the Company. Upon countersignature on behalf of the Company and delivery, the Warrant Certificate shall be valid and binding upon the Company, and the Warrantholder thereof shall be entitled to all of the benefits of this Agreement.

In case any officer of the Company who shall have signed any of the Warrant Certificates Certificate shall cease to be such officer of the Company before countersignature issuance and delivery by the CompanyCompany of such Warrant Certificate, such Warrant Certificates, nevertheless, Certificate nevertheless may be countersigned, issued and delivered with the same force and effect as though the individual who signed such person Warrant Certificate had not ceased to be such officer; officer of the Company, and any Warrant Certificate may be signed on behalf of the Company by any person individual who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Agreement any such person individual was not such an officer of the Company. Upon countersignature on behalf of the Company and delivery, the Warrant Certificate shall be valid and binding upon the Company, and the Warrantholder thereof shall be entitled to all of the benefits of this Agreementofficer.

In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before countersignature and delivery by the CompanyWarrant Agent, such Warrant Certificates, nevertheless, may be countersigned, issued and delivered with the same force and effect as though such person had not ceased to be such officerofficer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Agreement any such person was not such an officer of the Companyofficer. Upon countersignature on behalf of by the Company Warrant Agent and delivery, the Warrant Certificate shall be valid and binding upon the Company, and the Warrantholder thereof shall be entitled to all of the benefits of this Agreement.

Execution of Warrant Certificates. In case any officer of the Company who shall have signed any of the Warrant Certificates shall cease to be such officer before countersignature and delivery by the CompanyWarrant Agent, such Warrant Certificates, nevertheless, may be countersigned, issued and delivered with the same force and effect as though such person had not ceased to be such officerofficer of the Company; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Agreement any such person was not such an officer of the Companyofficer. Upon countersignature on behalf of by the Company Warrant Agent and delivery, the Warrant Certificate shall be valid and binding upon the Company, Company and the Warrantholder Holder thereof shall be entitled to all of the benefits of this Agreement.

Execution of Warrant Certificates. The Warrant Certificates shall be executed on behalf of the Company by the president, any vice president or the treasurer its Chairman of the Company Board, President or any Vice President, either manually or by facsimile signature printed thereon. The Warrant Certificates shall be manually countersigned and signed dated the date of countersignature by the secretary or Warrant Agent and shall not be valid for any assistant secretary of the Company purpose unless so countersigned and have affixed thereon the seal of the Company. Each such signature and seal may be manual or facsimiledated. In case any authorized officer of the Company who shall have signed any of the Warrant Certificates Certificate shall cease to be such officer of the Company either before countersignature and or after delivery thereof by the CompanyCompany to the Warrant Agent, the signature of such person on such Warrant CertificatesCertificate shall nevertheless be valid, nevertheless, and such Warrant Certificate may be countersignedcountersigned by the Warrant Agent, and issued and delivered to the person entitled to receive the Warrants represented thereby, with the same force and effect as though the person who signed such person Warrant Certificate had not ceased to be such officer; and any Warrant Certificate may be signed on behalf of the Company by any person who, at the actual date of the execution of such Warrant Certificate, shall be a proper officer of the Company to sign such Warrant Certificate, although at the date of the execution of this Agreement such person was not such an officer of the Company. Upon countersignature on behalf of the Company and delivery, the Warrant Certificate shall be valid and binding upon the Company, and the Warrantholder thereof shall be entitled to all of the benefits of this Agreement.
