Common use of Execution-Only Dealing Service Clause in Contracts

Execution-Only Dealing Service. 2.1) The Customer appoints the Bank to act on the Customer’s behalf to subscribe, purchase, sell redeem and/or hold Investments on the Customer’s instructions and in accordance with this Customer Agreement. 2.2) The Bank will execute orders in relation to Investments on the Customer’s behalf in accordance with the Customer’s specific instructions. The Bank will not advise the Customer about the merits of a particular transaction and the Bank is under no obligation to satisfy ourselves that the transaction is suitable for the Customer. 2.3) The Bank’s relationship envisages making investments on the Customer’s behalf in Investments. All dealings between the Bank and the Customer in relation to Investments are done on the basis that the Bank is merely facilitating Investments made by the Customer from time to time. Nothing in this Customer Agreement shall be construed as a relationship or contract of agency between the Bank and the Customer in terms of the applicable laws of the United Arab Emirates or that the Bank fulfill any advisory or intermediary function in terms of Central Bank regulations or any other applicable law.
