Common use of Executive Representations Clause in Contracts

Executive Representations. The Executive represents and warrants to the Company that he is under no obligation or commitments, whether contractual or otherwise, that are inconsistent with his obligations under this Agreement. The Executive represents and warrants that he will not use or disclose, in connection with his employment by the Company, any trade secrets or proprietary information or intellectual property in which any other person or entity has any right, title or interest and that his employment by the Company as contemplated by this Agreement will not infringe or violate the rights of any other person.

The Executive represents will indemnify and warrants that he will not use or disclose, in connection with his employment by the Company, any trade secrets or proprietary information or intellectual property in which any other person or entity has any right, title or interest and that his employment by hold harmless the Company as contemplated by this Agreement will not infringe from any claims, liabilities, damages, costs or violate the rights expenses (including legal fees and costs, regardless of whether suit be brought) resulting from third-party claims of any other personsuch conflict or breach.

Executive Representations. The Executive represents and warrants that he is not under contract of any kind with any entity or business that would prohibit or restrict him from entering into this Agreement. Executive further warrants, represents and agrees that he neither has nor will not use enter into any agreement or disclose, in connection with his employment by the Company, any trade secrets or proprietary information or intellectual property in which any other person or entity has any right, title or interest and that his employment by the Company as contemplated by obligation while this Agreement will not infringe is in effect that might conflict or violate interfere with the rights operation of any other personthis Agreement or his obligations hereunder.
