Executive Retention Program. At Closing, Purchaser shall deliver through the transfer agent of 1,673,034 shares of restricted stock in EPIC under the terms set forth in the respective Employment Agreements for each of Tilbury, Robertson, Williams, ▇▇▇▇▇▇ and ▇▇▇▇▇▇▇▇▇▇, and as set forth in the Executive Coaching Agreement for ▇. ▇▇▇▇▇▇▇▇, the forms of which are attached hereto as Exhibit 2 and 3.
Executive Retention Program. WellPoint believes it is important provide incentives for the current management team to remain with CareFirst following the merger. • CareFirst Senior Executives would enter into retention agreements providing for: • Retention bonus awards equal to three times base salary plus three times target bonus for the CEO, and two times base salary plus two times target bonus for the other Senior Executives based on closing date pay. This will be payable after two years of employment with WellPoint following the close, and • WellPoint restricted stock rights that vest over a two-year period in amounts that are not yet determinable, but that will be based on CareFirst's performance.
