Executive Vice Chairman. Effective as of the Effective Date, the Executive shall be elected director and Executive Vice Chairman of the Company and the Bank and, thereafter during the Term, the Executive shall serve as a director and Executive Vice Chairman of the Bank, and subject to election by the stockholders of the Company (which election shall be recommended to the Company’s stockholders) the Executive shall serve as director and Executive Vice Chairman of the Company. In such positions, Executive shall have such duties and authority commensurate with being the Executive Vice Chairman of the Board of Directors of a publicly-held bank holding company and its subsidiary bank, including serving as vice chairman at board meetings and strengthening community relationships and any additional duties as may be reasonably directed by the Board of Directors from time to time.
