Executive’s Business Activities. (a) Executive shall devote such professional time, attention and energy as required by the business and affairs of Company, as its business and affairs now exist and as they hereafter may be changed. Executive shall not, during the term of this agreement, engage in any other business activity in the related industry without disclosure. Company has agreed on the executive's employment obligations at the date of execution of this contract. (b) Executive agrees that at no time during the term of his employment with the Company he will not (without the prior written consent of the Company) directly or indirectly, in any manner whatsoever, including, without limitation, enter into the employment of or render services to or either individually or in partnership or jointly or in conjunction with any other Person, as principal, agent, shareholder, employee or in any other manner whatsoever, carry on or be engaged in the same or substantially similar business which may be carried on by the Company or any business competitive with the business now carried on by the Company (a "Competitive Business"), or be concerned with or interested in or lend money to, guarantee the debt or obligations of or permit his name or any part thereof to be used by any person, persons, firm, association, syndicates company or corporation engaged or concerned with or interest in a Competitive Business. The Company does acknowledge that his relationships that are disclosed in the agreement are exempt for this article.

Executive’s Business Activities. (o) Executive shall devote his entire professional time, attention and energy exclusively to the performance of his duties and responsibilities for Company and its affiliates. Executive shall not, directly or indirectly, (i) substantially be engaged in or concerned with any other commercial duties or pursuits, (ii) render services to any third party for compensation or other benefit, or (iii) engage in any other business activity; provided, however, that nothing in this Agreement restricts Executive from continuing his existing involvement with trade and community organizations, becoming involved with similar trade and community organizations, or assuming greater leadership responsibilities within such organizations so long as such activities do not materially interfere with the performance of Executive's duties hereunder. (p) Executive agrees that during the term of his employment under this Agreement, he will engage in no business or other activities, directly or indirectly, which are or may be competitive with or which might place him in a competing position to that of Company without obtaining the prior written consent of Company. Nothing in this Agreement restricts Executive from engaging in reasonable consumer education (such as teaching the art of brewing) and trade association or professional activities, provided such activities do not materially interfere with the performance of Executive's duties hereunder. The Company shall be entitled to any honoraria, stipend or other income Executive may receive from such activities provided that the Company pays all of Executive's reasonable expenses in connection with such activities.

In such event, Executive shall devote the substantial portion of Executive’s entire business time, attention and energy exclusively to the business and affairs of the Company and its affiliates, as its business and affairs now exist and as they hereafter may be changed. Executive may serve as a member of the Board of Directors of other organizations that do not compete with the Company, and may participate in other professional, civic, governmental organizations and activities that do not materially affect his ability to carry out his duties hereunder.

Executive’s Business Activities. EXecutive shall devote the substantial portion of his entire business time, attention and energy exclusively to the business and affairs of The Company and its affiliates, as its business and affairs now exist and as they hereafter may be changed. Executive may serve as a member of the Board of Directors of other organizations that do not compete with the Company, and may participate in other professional, civic, governmental organizations and activities that do not materially affect his ability to carry out his duties hereunder.

Executive’s Business Activities. Executive shall devote the substantial portion of his entire business time, attention and energy exclusively to the business and affairs of the Company, Executive may serve as a member of the Board of Directors of other organizations that do not compete with the Company (as long as approved by the CFO), and may participate in other professional, civic, governmental organizations and activities that do not materially affect his ability to carry out his duties hereunder. Executive is expected to be at the office or in the field working on behalf of the Company from 8am to 4pm, Monday through Friday at a minimum, or arrange a mutually agreed upon schedule. During the first 90 days of employment, Executive and Company will arrange a mutually agreed upon transition schedule. CFO has responsibilities as a communicator, decision maker, leader, and manager. The communicator role involves the press and the rest of the outside world, as well as the organization's management and employees; the decision-making role involves high-level decisions about policy and strategy. As such Executive is expected to maintain the highest level of integrity, personal and business conduct.

Executive’s Business Activities. Executive shall devote his full professional time, attention and energy to the business and affairs of the Company, as its business and affairs now exist and as they hereafter may be changed, and shall not during the term of his employment hereunder be engaged in any other business activity, whether or not such business activity is pursued for gain or profit; provided, however, that Executive may serve as a director or trustee of any business enterprise or any nonprofit or governmental entity or trade association if in each case such service is approved by the Board of Directors and does not in any material way interfere with Executive's duties hereunder.
