Executive warrants and represents that his acceptance of employment by the Company on the terms offered will not breach any contractual or other obligation he has to any third party, and that he will neither bring to the Company confidential or proprietary information or documents of any third party (other than a third party contributing assets to the Company), including any former employer, nor use or disclose any confidential or proprietary information of any third party without such third party’s written authorization.
