Exempt Transaction; Investment Intent. (a) The Purchaser is an “accredited investor” as the term is defined in Rule 501(a) under the Act and (b) the Purchaser is purchasing Notes for his or its own account (or for beneficiaries’ accounts over which the Purchaser has investment discretion) and not with a view of reselling the Notes in violation of the Securities Act.
