Exemption for Issuance of Newpark Shares. Newpark will use all reasonable efforts to qualify the issuance of the Newpark Shares in connection with the Exchange under Rule 506 of the Rules and Regulations and, if necessary, to qualify the issuance thereof pursuant to all applicable state securities or Blue Sky laws.
