Common use of Exercise and survival of indemnities Clause in Contracts

Exercise and survival of indemnities. (a) An obligation to indemnify under this Service Agreement will be discharged by payment in full by the indemnifying party to the indemnified party (or to such person as the indemnified party nominates) within 20 Business Days after the date the indemnified party provides written notice to the indemnifying party setting out adequately detailed grounds for, and specifying the full quantum of, the claim for indemnification. (b) It is not necessary for a party to incur expense or make payment before enforcing a right of indemnity under this Service Agreement. (c) The right of a party indemnified under this Service Agreement to receive payment under the indemnity survives any termination of this Service Agreement.
