Exercise of Certain Options. The Company has granted the options to purchase Units listed on Exhibit 7.13(a) to certain employees of the Company formerly employed by Franklin in replacement of such persons’ options to purchase Franklin stock (the “Franklin Replacement Options”). Upon each exercise of any of the Franklin Replacement Options, Franklin shall transfer to the Company for cancellation, without payment therefor by the Company, a number of Units equal to the number of Units issued upon such exercise of a Franklin Replacement Option. Options granted by RPH to its or its Affiliates’ employees shall remain options to purchase RPH common stock.
