Common use of Exercise of Duty Clause in Contracts

Exercise of Duty. 4.02.01 The Acting Officers or any of them may be indemnified and secured harmless by PCLEH from and against all actions, costs, charges, losses, damages and expenses (including legal expenses, on a solicitor-client basis) which they, or any of them shall or may incur or sustain by, or by reason of, any act or thing done, concurred in, committed or omitted in or about the execution of their duties or purported duties in their respective offices or trusts or in carrying out any other acts at the request of any PCL Family member, except such, if any, as they shall incur or sustain as a result of anything they have done or omitted to do, with the subjective intent of doing wrong.
