Common use of Exercise of Rights as Shareholders Clause in Contracts

Exercise of Rights as Shareholders. Each Shareholder Party agrees that it shall not exercise its rights as a Shareholder in a way which contradicts the terms of this Agreement, in particular with respect to its voting rights in shareholders’ meetings. Save as contemplated by this Agreement, no Shareholder Party shall: 2.3.1 grant any proxy (other than a proxy to a person to vote on its behalf in relation to a specified shareholders’ meeting); 2.3.2 enter into or agree to be bound by any voting trust; or 2.3.3 enter into any shareholders’ agreement or other agreement or arrangement with any person, in each case, with respect to the exercise of the voting rights attaching to its Shares.
