Common use of Exercise of the Offer Option Clause in Contracts

Exercise of the Offer Option. Parent or Purchaser may exercise the Offer Option at any time during the Option Period with respect to all of the Owned Shares by giving written notice to Stockholder stating that Parent or Purchaser is exercising the Offer Option. If Parent or Purchaser exercises the Offer Option, the Offer will be commenced in accordance with the terms and conditions of the Transaction Agreement.
