Exercise Price of Post-External Distribution RemainCo Option. The per share exercise price of the post- External Distribution RemainCo Option shall be equal to the quotient obtained by dividing (x) the per share exercise price of the pre-External Distribution RemainCo Option immediately prior to the Effective Time, by (y) the RemainCo Ratio, and rounding such quotient up to the nearest whole cent.
