Exercise Requirements. Each CRI LPHA shall develop and conduct an exercise program that tests MCM dispensing related emergency response plans and adheres to HSEEP guidance including an after action report, improvement plan and exercise evaluation guide. Exercises completed to meet PE-02 can be used to meet PE-12 requirements if appropriate documentation, as cited in PE-12, is submitted. Each CRI LPHA must complete the following exercises:
(a) Three Operational Drills by June 15, unless given specific permission for extension by OHA State MCM Coordinator. Complete three annual dispensing drills (facility setup, staff notification and assembly, and site activation), alternating each year between anthrax and pandemic influenza scenarios. Documentation of the three required drills must be submitted through the PORTS system no later than June 15 of the fiscal year in which the drills are conducted, unless given specific permission for extension by OHA State MCM Coordinator.
(b) Two Tabletop Exercises (TTX) in each 5-year period. Complete two TTXs every five years, one to demonstrate readiness for an anthrax scenario and one for a pandemic influenza scenario. Documentation of the required TTXs must be submitted through the PORTS system no later than June 15 of the fiscal year in which each TTX is conducted, unless given specific permission for extension by OHA State MCM Coordinator.
(c) One Functional Exercise (FE) in each 5-year period. Complete a FE once every five years, focusing on vaccination of at least one critical workforce group, to demonstrate readiness for a pandemic influenza scenario. Documentation of the FE must be submitted through the PORTS system no later than June 15 of the fiscal year in which the FE is conducted, unless given specific permission for extension by OHA State MCM Coordinator.
(d) One Medical Countermeasures Full Scale Exercise (FSE) in 5-year period. Each CRI LPHA must participate in one FSE in the 5-year cooperative agreement period. The FSE must demonstrate operational readiness for a pandemic influenza scenario and include at least one POD set up with throughput drill. Each CRI LPHA must document FSE through the PORTS system along with the Dispensing Throughput Drill no later than June 15 of the fiscal year in which the FSE is conducted, unless given specific permission for extension by OHA State MCM Coordinator.

Exercise Requirements. If fewer than the number of Option Shares then available for purchase pursuant to this Option are purchased at any time under this Option, the Optionee may purchase the remaining Option Shares up until the Expiration Date. The Option shall not be exercisable for fractional shares.
Exercise Requirements. Training and Exercise Plan Workshop. States and Urban Areas are required to conduct an annual Training and Exercise Plan Workshop (TEPW). A Multi-year Training and Exercise Plan must be developed from the workshops on an annual basis and submitted to the State‘s respective Exercise Program point of contact. The State Exercise Program point of contact should submit a copy of the plan to xxxxx@xxx.xxx.
Exercise Requirements. To the extent that the Option has become vested and exercisable with respect to a number of shares of Common Stock, the Option may thereafter be exercised by the Participant, in whole or in part, at any time or from time to time prior to the expiration of the Option in accordance with the Plan, provided that the Participant must exercise the Option with respect to an equal number of shares of Class A Common Stock and Class B Common Stock subject to the Option concurrently. Notwithstanding the foregoing, the Participant may not exercise the Option unless the offering of shares of Common Stock issuable upon such exercise (i) is then registered under the Securities Act, or, if such offering is not then so registered, the Company has determined that such offering is exempt from the registration requirements of the Securities Act and (ii) complies with all other applicable laws and regulations; provided that, if the Option cannot be exercised by reason of this Section 4(a), then, to the extent the circumstances preventing the exercise of the Option can reasonably be remedied, the Company shall use commercially reasonable efforts to remedy such circumstances, which method of remediation shall be determined by the Company in its sole discretion.
Exercise Requirements. (a) If Harvard wishes to exercise the Drag Along Option, it must give notice (“Drag Along Notice”) to each other Participant (with a copy to the Company):
(i) stating that Harvard is exercising the Drag Along Option;
(ii) setting out the price and other terms pursuant to which Harvard wishes to sell to the Drag Along Purchaser;
(iii) setting out the date for Drag Along Completion, which date must be at least 20 Business Days after the date of the Drag Along Notice.
(b) A Drag Along Notice is irrevocable.
Exercise Requirements. 1 LPHA must include at least one exercise per year (a qualifying incident may substitute for an exercise) as part of their annual PHEPR Work Plan update.

(b) Incident: • Submit to HSPR REC an After-Action Report that includes an Improvement Plan within 60 days of every incident or public health response completed. An improvement plan template is included as part of the incident/exercise notification form in Attachment 3.
Exercise Requirements. A Stock Option will be deemed exercised when the Company receives: (A) written or electronic notice of exercise (in accordance with the Award Agreement) from the person entitled to exercise the Stock Option, and (B) full payment of the exercise price (including provision for any applicable tax withholding).
Exercise Requirements. LPHA shall develop and conduct an exercise program that tests LPHA’s all-hazard emergency response plans, adhering to HSEEP standards: After Action Report, Improvement Plan, and Exercise Evaluation Guide. As further described below, the program shall include exercises that involve LPHA’s administration, the local jurisdiction’s emergency management and other emergency response partners. LPHA shall annually submit to OHA for approval before December 1, an updated three-year Training and Exercise Plan. The Training and related exercise Plan shall meet the following conditions:
1. The Training and related exercise Plan shall, at a minimum, outline the exercise program priorities, target capabilities, and training and exercise schedule.
2. The plan shall demonstrate continuous improvement and progress toward increased capability of the LPHA to perform critical tasks.
3. The plan shall include priorities which address lessons learned from previous exercises, as described in LPHA’s existing After Action Reports (AARs) and Improvement Plans (IPs).
4. At a minimum, the plan shall identify at least two exercises per year and shall identify a cycle of exercises that increase in complexity from year one to year three, progressing from discussion based exercises (e.g. seminars, workshops, tabletop exercises, games) to operations based exercises (e.g. drills, functional exercises and full-scale exercises); exercises of similar complexity are permissible within any given year of the plan.
5. LPHA shall work with emergency management to integrate exercises with the county exercise schedule. • Performance Measure O.6: At a minimum, LPHA shall, before June 30 each year, develop and satisfactorily execute two public health preparedness exercises as outlined in the LPHA’s approved Training and Exercise Plan. LPHA shall submit to OHA for approval an exercise scope, including goals, objectives, activities, list of invited participants, and list of exercise design team members, for each of the exercises at least 45 days before each exercise is scheduled to take place. LPHA shall provide to the OHA an AAR documenting each exercise within 60 days of conducting the exercise. Disease outbreaks or other public health emergencies requiring a LPHA response may, upon OHA’s approval, be used to satisfy exercise requirements. NIMS compliant procedures for LPHA command and control shall be used to manage the response to the communicable disease or public health emergencies.
Exercise Requirements. Question: There was some discussion previously that the period of time for which exercises would count might be April 2008 to April 2009. Has there been further clarification of this? Answer: Some of the exercises will contribute to the new Pandemic and All-Hazards Preparedness Act (PAHPA) requirement for evidence-based benchmarks and objective standards that must be met to avoid a potential funding loss. The
Exercise Requirements. The Vessel Operator may be requested to attend certain operational oil spill response exercises pursuant to Section 6.1(d) of the Charter Agreement. The Vessel Operator may be requested to attend individually or with a vessel and crew. Exercises may be a few hours or a few days in duration depending on the scenario and location. Oil spill response exercises may contain some or all of the following elements: • spill management (Incident Command System) functions • health and safety briefing • operational briefing • equipment loading and stowing • vessel operation • communication • record and log keeping • equipment deployment and operation • response tactics execution • equipment recovery and decontamination (fresh water washdown) • equipment offloading and storage • debriefing • undertaking follow-up action items
