Common use of Exhibits; Relationship of the Parties Clause in Contracts

Exhibits; Relationship of the Parties. The relationship of the Parties to this Agreement is that of independent contractors. Neither this Agreement or any Program Portfolio Schedule nor any of the activities contemplated hereby or thereby shall be deemed to create any partnership, joint venture, agency or employer/employee relationship between the Subservicer or its subservicers or subcontractors and SC. The Subservicer, in its capacity as such, has no duties, obligations or responsibilities to SC or any other Person hereunder other than those specifically expressed and set forth in this Agreement and any Program Portfolio Schedule and no implied obligations of the Subservicer shall be read into this Agreement.
