Existence and Authority of the Company. On or prior to the Closing Date, you shall have received a certificate of good standing with respect to the Company and each Subsidiary Guarantor, certified copies of the Organizational Documents of the Company and each Subsidiary Guarantor, certified copies of the ESOP Plan Documents and the other Transaction Documents and evidence with respect to the authorization by the Company, each Subsidiary Guarantor, the ESOT and the ESOP of the transactions contemplated by this Agreement, the other Operative Documents and the other Transaction Documents.
