The Borrower. 6.1.1. is a corporation, duly organized, validly existing and in good standing under the laws of the State of Delaware. 6.1.2. has all corporate powers and all governmental licenses, authorizations, consents and approvals required to carry on its business as now conducted. 6.1.3. is duly qualified to transact business as a foreign entity in each jurisdiction where the nature of its business requires the same.
