(a) Borrower shall do or cause to be done all things necessary to preserve, renew and keep in full force and effect its existence, rights, licenses, permits and franchises and comply in all material respects with all Legal Requirements applicable to it and the Property. Borrower hereby covenants and agrees not to commit, permit or suffer to exist any act or omission affording any Governmental Authority the right of forfeiture as against the Property or any part thereof or any monies paid in performance of Borrower’s 's obligations under any of the Loan Documents. Borrower shall at all times maintain, preserve and protect all franchises and trade names necessary used in connection with the operation of the Property.
(b) After prior written notice to Lender, Borrower, at its own expense, may contest by appropriate legal proceeding, promptly initiated and conducted in good faith and with due diligence, the Legal Requirements affecting the Property, provided that (i) no Default or Event of Default has occurred and is continuing; (ii) such proceeding shall be permitted under and be conducted in accordance with the provisions of any other instrument to which Borrower or the Property is subject and shall not constitute a default thereunder; (iii) neither the Property, any part thereof or interest therein, any of the tenants or occupants thereof, nor Borrower shall be affected in any material adverse way as a result of such proceeding; (iv) non-compliance with the Legal Requirements shall not impose civil or criminal liability on Borrower or Lender and (v) Borrower shall have furnished to Lender all other items reasonably requested by Lender;.

Existence; Compliance with Legal Requirements. (b) After after prior written notice to Lender, each Borrower, at its own expense, may suspend such compliance and contest by appropriate legal proceeding, promptly initiated and conducted in good faith and with due diligence, the validity or applicability of any Legal Requirements affecting to such Borrower and the PropertyProperty owned by such Borrower, provided that (i) no Default or Event of Default has occurred and is continuingremains uncured; (ii) such proceeding shall be permitted under and be conducted in accordance with the provisions of any other instrument to which Borrower or the Property is subject all applicable statutes, laws and shall not constitute a default thereunderordinances; (iii) the applicable Borrower shall establish to Lender's reasonable satisfaction that neither the Property, applicable Property nor any part thereof or interest thereintherein will be in danger of being sold, forfeited, terminated, canceled, lost or subjected to any of Lien during the tenants or occupants thereof, nor Borrower shall be affected in any material adverse way as a result pursuit of such proceedingcontest; and (iv) non-compliance such Borrower shall promptly upon final determination thereof comply with the such resulting Legal Requirements Requirements, and shall not impose civil or criminal liability on Borrower or Lender;pay all costs, interest and penalties which may be payable in connection therewith.
