The Depositary is a société anonyme validly existing under the laws of France and is duly licensed to conduct banking business in the State of New York through its New York Branch, with corporate power and authority and legal right to own, lease and operate its property, to conduct its business as described in the Depositary Information and to enter into and perform its obligations under this Agreement and the Deposit Agreements.
