Existing Baseline Licenses Clause Samples
The "Existing Baseline Licenses" clause defines the rights and permissions that have already been granted to third parties under pre-existing license agreements before the current contract takes effect. In practice, this clause typically clarifies that any intellectual property or technology covered by such prior licenses is not subject to the new agreement’s restrictions or obligations, and may continue to be used or exploited by those third parties as previously agreed. Its core function is to prevent conflicts or breaches by ensuring that the new contract does not override or interfere with established licensing arrangements.
Existing Baseline Licenses. When ordering a Server and Tools Product other than Microsoft Azure, Enrolled Affiliate must identify all Existing Baseline Licenses for the applicable Server and Tools Product Family. Perpetual Licenses owned by the Enterprise but not identified as Existing Baseline Licenses in the applicable Product Family at the start of this Enrollment may not be used during this Enrollment term.
