Existing Bridge Agreement. The Agent shall have received evidence reasonably satisfactory to the Agent that all amounts outstanding under the Existing Bridge Agreement shall have been repaid in full, all Liens securing such amounts shall have been discharged and terminated, and the Existing Bridge Agreement shall have been terminated (or shall be terminated upon disbursement of the initial Loans).
