Existing Debt Documents. On the Effective Date, the Agent shall have received evidence satisfactory to it that contemporaneous with the initial Advance, all Debt under the Existing Debt Documents shall be paid in full, all commitments to lend thereunder shall have been terminated, and all Liens securing Debt thereunder shall be terminated and released or assigned to Agent to secure the Indebtedness under the Loan Documents.
Existing Debt Documents. To the extent any of the Existing Debt is assumed by Purchaser, originals where available and copies of the loan documents relating to that portion of the Existing Debt certified by Seller to be correct and complete where originals are not available, and the written consent of the relevant Lender(s) to the assumption of the that portion of the Existing Debt to be assumed, if any, it being understood and agreed that Seller shall have no obligation to obtain such consents.
