Existing Documents Superseded. On the Closing Date, the Existing Loan Documents shall be superseded by this Agreement, the Notes and the other instruments evidencing or securing the Loans as provided for in this Agreement, except that the security interests granted thereunder shall be continued by the Loan Documents executed on the date hereof and that Nutrition Management hereby agrees that the Assignment of Agreement dated March 10, 1995 shall be hereby deemed amended to provide security for the obligations under the Loan Documents executed on the date hereof.
Existing Documents Superseded. On and as of the Effective Date, (a) (i) the Existing Credit Agreement shall be superseded by this Agreement, (ii) the Existing Trust Indenture shall be superseded by the Trust Indenture, (iii) the Existing Letter Agreement shall be superseded by the Letter Agreement, (iv) the Existing Intercreditor Agreement shall be superseded by the Intercreditor Agreement, (v) the Existing Subordination Agreement shall be superseded by the Subordination Agreement, and (vi) the Existing Restructure Security Agreement shall be superseded by the Restructure Security Agreement.
Existing Documents Superseded. Section 2.3(e) of the Agreement is hereby amended to read in its entirety as follows:
Existing Documents Superseded. (a) On the Closing Date, the Existing Credit Agreement and the Existing Notes shall be superseded by this Agreement, the Notes and the other Loan Documents and shall become of no further force and effect. (b) Notwithstanding the foregoing, it is not the intention of any of the parties hereto that the restructuring of the Existing Indebtedness provided in subsection 2A.1 constitute a payment or discharge of the Existing Indebtedness. Accordingly, the Borrowers' obligation to pay the Loans and other amounts payable hereunder in accordance with the terms of this Agreement and the other Loan Documents shall be accepted by the Banks in renewal and extension of (but not in substitution and exchange for or in payment of) the Existing Indebtedness.
