Existing MAP Agreements Clause Samples

The 'Existing MAP Agreements' clause defines how prior Mutual Agreement Procedures (MAP) between parties are treated under the current agreement. It typically clarifies whether any MAP agreements already in place before the new contract's effective date will remain valid, be superseded, or require renegotiation. This ensures that there is no confusion or conflict between previous and current dispute resolution arrangements, providing continuity or clear transition in the handling of tax or treaty-related disputes.
Existing MAP Agreements. To the extent any provision of this TMA conflicts with the determination of the Tax Liability (as defined in the MAP LLC Agreement) of Ashland or its successors for any Straddle Period of MAP as determined under Section 10.03 of the MAP LLC Agreement, such Tax Liability shall be determined in accordance with this Agreement. In all other respects, except as expressly modified herein, the terms and conditions of the MAP LLC Agreement, the ATCA, and the Put/Call Agreement shall continue to apply to the extent provided in Article XII of the Master Agreement. For the avoidance of doubt, the term Tax Distribution Amount (as defined in the MAP LLC Agreement) shall not include the Tax Liability (as defined in the MAP LLC Agreement) of the Ashland Affiliated Group that is attributable to the MAP Partial Redemption.
